Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the ISOXPERT Compliance360 platform ("Service") operated by [[LEGAL ENTITY NAME]] ("we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorised to bind that organization.

2. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Access is role-based and administered by your organization's administrator. We may suspend accounts that violate these Terms or pose a security risk.

3. Acceptable use

You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) upload malicious code; (c) attempt to gain unauthorised access to the Service, other tenants' data, or underlying systems; (d) probe, scan, or test the vulnerability of the Service without authorisation; or (e) misuse AI features to generate unlawful content. You are responsible for the data you upload and for ensuring you have the right to process it.

4. Customer data & privacy

You retain ownership of the data your organization uploads ("Customer Data"). We process Customer Data to provide the Service in accordance with the Privacy Policy and applicable Data Processing Agreement. Each organization's data is isolated by row-level security.

5. AI features

AI-assisted drafting and analysis are provided via the Google Gemini API. AI output may be inaccurate or incomplete and must be reviewed by a qualified person before reliance. AI features are subject to fair-use limits and may be rate-limited. See the Privacy Policy, Section 6, for how content is handled.

6. Subscriptions & billing

Paid plans are billed through Stripe on a recurring basis per the plan you select. Fees are [[non-refundable except as required by law]]. You may manage or cancel your subscription via the billing portal; cancellation takes effect at the end of the current period unless stated otherwise. We may change pricing on prospective renewal with notice.

7. Availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis, and may be subject to maintenance, third-party outages, or changes.

8. Intellectual property

The Service, its software, and branding are owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may export your own data.

9. Warranties & liability

To the maximum extent permitted by law, the Service is provided without warranties of any kind, and our aggregate liability is limited to [[the fees paid in the 12 months preceding the claim]]. We are not liable for indirect, incidental, or consequential damages. Nothing limits liability that cannot be limited by law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. On termination, you may export your data for [[30 days]], after which it may be deleted or anonymised in line with the Privacy Policy's retention rules.

11. Governing law & changes
